Terms & Conditions.

1. Acceptance of Terms

By accessing nexvoria.tech or engaging Nexvoria Technologies Private Limited ("Nexvoria", "we", "us", "our") for any services, you ("Client", "you") agree to be bound by these Terms & Conditions. If you do not agree, please discontinue use of the website and our services.

2. Services Offered

Nexvoria provides consulting, implementation, customisation and support services covering Microsoft Dynamics 365 Business Central, Microsoft Power BI, Microsoft Power Platform, Microsoft Excel automation and related enterprise technology solutions. Specific deliverables, timelines, and commercial terms for each engagement are documented in a separate Statement of Work (SOW) or Service Agreement.

3. Engagement & Scope

Every engagement begins with a discovery process resulting in a written proposal or SOW. Work commences only after the SOW is countersigned and the agreed advance, if any, is received. Any scope changes will be documented through a written change order, with corresponding adjustments to commercials and timelines.

4. Payment Terms

Unless otherwise specified in the SOW, invoices are payable within fifteen (15) days of issue. Delayed payments may attract interest at 1.5% per month or the maximum permitted by law, whichever is lower. Applicable Goods & Services Tax (GST) is charged additionally. Nexvoria reserves the right to suspend services for accounts that remain overdue beyond thirty (30) days.

5. Intellectual Property

All pre-existing intellectual property, methodologies, tools, frameworks and code libraries used by Nexvoria remain its exclusive property. Deliverables created specifically for the Client under a paid engagement are transferred to the Client upon receipt of full payment, except for any Nexvoria background IP, third-party software, or open-source components embedded within them, which remain governed by their respective licences.

6. Confidentiality

Both parties agree to maintain the confidentiality of any non-public information shared during the engagement. This obligation survives termination of the engagement for a period of three (3) years, except in respect of information that becomes public through no fault of the receiving party.

7. Warranties & Disclaimers

Nexvoria warrants that services will be performed in a professional manner consistent with industry standards. Beyond this, no other warranty — express or implied — is provided. The website content is offered "as is" without warranty of any kind. Nexvoria does not guarantee specific business outcomes; results depend on client adoption, data quality, and factors outside our control.

8. Limitation of Liability

To the maximum extent permitted by law, Nexvoria's aggregate liability under any engagement shall not exceed the fees actually paid by the Client to Nexvoria for the specific services giving rise to the claim during the three (3) months preceding the event. Nexvoria shall not be liable for indirect, incidental, special or consequential damages including lost profits, lost data or business interruption.

9. Third-Party Software

Engagements involving Microsoft, third-party ISV or open-source software are subject to the respective vendor's licence terms. Licence fees, subscription renewals and compliance with end-user agreements are the Client's responsibility unless explicitly included in the SOW.

10. Termination

Either party may terminate an engagement with thirty (30) days' written notice. The Client shall pay for all services rendered up to the date of termination, along with any non-cancellable third-party commitments made on the Client's behalf.

11. Force Majeure

Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, pandemics, governmental actions, infrastructure failures or cyber incidents originating from third parties.

12. Governing Law & Jurisdiction

These Terms shall be governed by the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at Gurugram, Haryana, India.

13. Changes to Terms

Nexvoria reserves the right to modify these Terms at any time. Changes take effect on publication on this page. Continued use of our website or services after publication constitutes acceptance of the revised Terms.
